1. Services
   
   The Company’s tutoring services include direct instruction in a virtual environment that includes but is not limited to, pre-kindergarten through high school programming. Tutoring sessions are scheduled as one-hour sessions.
2. Responsibilities of Parties
   1. Student Responsibilities
      Student is expected to:
      1. Attend all scheduled tutoring sessions.
      2. Arrive on time and have all academic support materials (e.g., textbooks, notes, worksheets) ready for tutoring sessions.
      3. Contact the Tutor at least 15 minutes before the start of the tutoring session if the student will arrive late to the tutoring session.
   2. Tutor Responsibilities
      Tutor is expected to:
      1. Conference with the Client to identify tutoring goals and objectives at the start of tutoring and ongoing if needed during monthly progress check-ins.
      2. Design lessons based on agreed upon and applicable state standards, goals, objectives, and the Student’s needs.
      3. Confirm the next scheduled session prior to the end of the current session.
      4. Email or call Company’s management team after the first five minutes if the Student is late. Company’s management team will call the Client. After 15 minutes, Tutor will mark the session as “Cancelled”.
3. Tutor Assignments
   
   Tutors are matched with Students based on the Student’s profile completed by the Client. If, at any time, the Client would like to discuss a different Tutor match, the Client must contact the Company, by email at Support@TutorTime4U.com.
   
   The Company will inform the Client via written notice if reassignment of Tutor needs to occur due to unforeseen circumstances (e.g., family emergency, illness).
4. Attendance
   
   The Students are expected to log in to the Zoom session on time for their scheduled tutoring sessions and are highly encouraged to log in five minutes before schedule to make sure there are no delays in starting the lesson/session. No adjustments shall be made for time lost due to the late arrival of the Student. Tutors will wait for the Student 15 minutes past the start time before canceling the session. If the Student does not log in within the first 15 minutes, the lesson will be logged as a “no show” and shall be cancelled. No refund of payment will be issued for any cancelled tutoring session.
   
   Any lost time because of the late arrival of the Tutor shall be compensated by either extending the session or adding the lost time in a future session. Time compensation must be agreed upon by the Company and the Client.
5. Schedule of Lessons and Payment
   
   Company’s tutoring session scheduling is flexible and can be scheduled around the Student’s activities. Client will coordinate the Student’s tutoring schedule through the individualized tutoring coordinator whose contact information will be given during the initial meet and greet meeting.
   
   Payment is due at the time of purchase. Payment shall be made via credit or debit card and shall be processed through the payment link provided by Tutor Time 4U. The Client shall accept full responsibility for the fees for all services provided, agrees to the payment terms, and authorizes the charges on the credit/debit card that the Client shall provide.
6. Tutoring Session Fees and Pricing
   
   Fees shall be calculated at a rate of $40 per one-hour tutoring session. Fees may be adjusted from time to time and shall become effective after giving the Client 30 calendar days written notice. Notwithstanding anything else to the contrary herein, Client’s payment of any adjusted fee shall constitute Client’s acceptance of any adjusted fee level.
   
   Neither the Client or the Student shall disclose tutoring fees and pricing to Tutors. The Client shall not provide direct payment to the Tutors.
7. Cancelation of a Tutoring Session
   
   
   1. By the Student or Client:
      
      1. If the session is canceled more than 24 hours in advance of the scheduled lesson, the session can be rescheduled based on the Client’s availability. If rescheduling is not possible, a 100% refund of payment will be issued within seven (7) business days from the Client’s request for refund.
      2. If the session is canceled between 12-24 hours prior to the session, a 50% refund of payment will be issued within seven (7) business days from the Client’s request for refund.
      3. If the session is canceled less than twelve (12) hours prior to the session, there will be no refund of payment.
   2. By the Tutor:
      
      1. In rare circumstances, a Tutor may need to cancel a session due to illness or family emergency. All efforts will be made to give the Client at least twenty-four (24) hours’ notice prior to the session. A substitute Tutor may be assigned to conduct the lesson.
      2. If the Client prefers to reschedule the session, payment for the session will be applied to the rescheduled session. If rescheduling is not possible, a full refund of payment will be issued within seven (7) business days from the Client’s request for refund.
8. Unexpected Technical Issues During a Tutoring Session
   
   If the Company or the Client experiences an unexpected technical issue before or during a tutoring session, all efforts will be made to address the technical issue.
   
   
   1. By the Student or Client:
      
      1. If the technical issue cannot be resolved during the tutoring session, the session will be canceled and there will be no refund of payment.
   2. By the Tutor:
      
      1. In rare circumstances that the Tutor experiences technical issues, a substitute Tutor may be assigned to conduct the lesson or the payment for the session will be applied to the rescheduled session based on the Client’s availability. If rescheduling is not possible, a full refund of payment will be issued within seven (7) business days from the Client’s request for refund.
9. Recording of a Tutoring Session
   
   Each tutoring session will be recorded by the Company for training and quality assurance and marketing purposes only. The Company will keep the recorded tutoring sessions secure and private through Zoom. Client for himself or herself and on behalf of Student hereby consents to the video and audio recordation of the tutoring sessions for the purpose of training and quality assurance purposes and Company acknowledges and agrees that it shall not use, share or otherwise distribute such recordings without obtaining the further consent of Client. The Company will comply with all applicable laws regarding the storage of such data and will delete such data upon the termination or expiration of this Agreement. The Company will only use the recorded tutoring sessions after the Company obtains the Client’s written consent to use/publish the recorded tutoring sessions for marketing.
   
   The Client cannot record the tutoring session and use it for any purpose. The Client is also prohibited from any unauthorized use of the Company’s intellectual property, such as audio and video recordings, instructional materials, and software.
10. Taking Pictures/Screenshots of a Tutoring Session
    
    Clients are prohibited from taking pictures/screenshots of a tutor or tutoring session.
11. Client Testimonials and Evaluation
    
    The Company may solicit video and/or written testimonials from the Client for marketing purposes. The Company may also ask the Client to participate in ongoing evaluation (e.g., survey, interview) to solicit the Client’s feedback about the tutoring services. The Company will only use such video or written testimonials after the Company obtains the Client’s written consent to use/publish the recorded tutoring sessions for marketing.
12. No Warranties
    
    The Company and each Tutor makes no promises or warranties with regards to a Student’s performance as a result of any tutoring provided.
13. Status of the Tutor
    
    It is expressly understood that the Client retains the services of the Tutor solely through the Company. The Client shall not hire or attempt to hire any Tutor directly.
14. Contacting Client
    
    The Company may contact the Client via direct work email.
15. Contacting Tutors and Asking Tutors’ Personal Information
    
    The Client may contact the Tutor regarding the Student’s progress and instructional needs through an email address provided by the Company. The Client cannot ask for the Tutor’s personal information (e.g., professional fee, incentives, phone number, personal email, social media accounts, other forms of personal communication).
16. Client Concerns and Questions
    
    The Client must submit concerns or questions to the Company, by email at Support@TutorTime4U.com. The Company will respond to the concerns or questions within 24 business hours upon receipt of the concerns or questions.
17. Prohibited Conduct
    
    Threats, threatening language, or any other acts of aggression or violence made toward or by any Party will not be tolerated. For purposes of this Agreement, a threat includes any verbal or physical harassment or abuse, any attempt at intimidating or instilling fear in others, menacing gestures, flashing of weapons, stalking or any other hostile, aggressive, injurious, or destructive action undertaken for the purpose of domination or intimidation.
18. Procedures for Reporting a Threat
    
    All potentially dangerous situations, including threats, should be reported immediately to the Company, by email at Support@TutorTime4U.com. Reports of threats may be maintained confidential to the extent maintaining confidentiality does not impede the Company’s ability to investigate and respond to the complaints for applicable laws. All threats will be promptly investigated.
    
    If the Company determines that someone has violated this policy, after an appropriate good faith investigation, the Company will take swift and appropriate corrective action.
19. Modification of this Agreement
    
    The Company will inform the Client of any amendment of this Agreement via email, which amendment shall take effect upon acceptance of such amendment and receipt unless a different effective date is set forth in such email. In the event Client elects not to accept such amendments, Client must give notice of his or her termination of this Agreement within five (5) business days of receiving such email and amendment.
20. Governing Law; Severability
    
    The Parties agree that they would first meet and confer to explore all avenues and possibilities of amicable settling whatever difference, disputes and/or controversies that may arise in connection with any of the terms and conditions of this Agreement before resorting to legal action.
    
    This Agreement will be governed by and construed in accordance with the laws of the State of Delaware excluding that body of law pertaining to conflict of laws. If any provision of this Agreement is for any reason found to be unenforceable, the remainder of this Agreement will continue in full force and effect.
21. Indemnity
    
    The Client agrees to indemnify and hold harmless the Company from all claims, losses, expenses, fees including attorney’s fees, costs, and judgments that may be asserted against the Company or its Tutors from their acts or omissions.
22. Force Majeure
    
    The Company shall not be liable for any failure or delay in the performance of obligation where that failure or delay results from any cause that is beyond reasonable control. Such causes include, but are not limited to power failure, internet service provider failure, strikes, lockouts or other industrial action by third parties, riots, and other civil unrest, fire, explosion, flood, storms, earthquakes, subsidence, acts of terrorism (threatened or actual), acts of war (declared, undeclared, threatened, actual or preparations for war), epidemic or other natural disaster, or any other event beyond the Company’s reasonable control.
23. Termination
    
    This Agreement may be terminated by either party at any time by giving the other party seven (7) days prior written notice.
24. Waiver of Terms
    
    No indulgence, waiver, or release by any party of any of the rights in terms of this Agreement on one occasion shall prevent the subsequent enforcement of such rights and shall not be deemed to be a waiver of any subsequent breach of any of the terms.
25. Entire Agreement
    
    This Agreement constitutes the entire understanding between the parties with regards to the subject matter thereof and the parties waive the right to rely on any alleged expressed or implied provision not contained herein. Any alteration must be in writing and signed by both parties.
26. Notice
    
    Notice may be given by either party either (a) in writing mailed to the other party at the address first set forth above, or (b) by electronic mail to the email address specified below the party’s signature below.
27. Minors
    
    Where the Student is a legal minor, the Client shall enter into this Agreement on behalf of the Student and shall accept and agree to all the terms and conditions contained herein for himself or herself and on behalf of the Student.

IN WITNESS WHEREOF, the parties have executed and delivered this Agreement as of the effective date.
